SUBSCRIPTION TERMS & CONDITIONS

Subscription Terms and Conditions:

1. By agreeing to these terms and conditions, you, as Subscriber, are confirming that you are at least twenty-one (21) years of age and agree to abide by and accept the terms and conditions contained herein. The terms and conditions apply to your Subscription Service Pass with Arlington Skin & Face Place, inclusive of all affiliates, (collectively, the “Company”).

2. A Subscription Service Pass does not include: discounts for any party other than Subscriber; access to facilities after hours; special appointment setting or scheduling; guarantees of appointment times and/or dates; guarantee that particular clinicians will be available to administer services; guarantee of specific results from any treatments; or any warranties for services.

3. The benefits of the Subscription Service Pass will insure to the Subscriber only during the active term of Subscription. Company has the right to change these terms and conditions at any time for any reason at its discretion, including services and discounts offered. Any increase in cost will only apply to Subscriber upon renewal, unless notice of change of terms will be provided to each Subscriber within sixty (60) days of any changes made. Subscription will continue in full force and effect regardless of any changes to the terms and conditions contained herein. Company reserves the right to change, add, or remove services and/or products available at its facilities and does not guarantee any particular service, treatment, or product will be available to Subscriber or other clients.

4. The Subscription Service Pass period shall be for a period of six months. A subscriber shall not be entitled to terminate or suspend his/her Subscription Service Pass during the Subscription Period. If the contract is terminated before the expiration date, there is an early termination fee up to $300.00 that will be charged to the card on file. Any contract that has been terminated prior to the expiration date will have a waiting period of 1 year before being able to reinstate.

5. After the Subscription Service Pass, the membership will NOT automatically be set up to renew. Any unused services will remain on account without expiration.

6. This Agreement is personal to the Subscriber and may not be assigned, transferred or otherwise disposed of by the Subscriber.

Automatic Payment Agreement:

1. Monthly membership payments shall be made in advance by direct debit from the subscriber’s designated credit/debit account. This information will be kept on file by Arlington Skin & Face Place in their online appointments management system.

2. You will be billed on the same day of the month each month according to the date that you initiated the contract and membership. We cannot change the billing date.

3. You are responsible to ensure that the credit card number on file with Arlington Skin & Face Place is valid so that the monthly fee can be charged to that card. You may change the credit card provided at any time, provided, however, that it is your responsibility to make sure that there is always a valid credit card number on file with v for payment of the Monthly Fee. If there is not a valid credit card on file with Arlington Skin & Face Place at the time the Monthly Fee is charged to that card and one is not provided within ten days after the regularly scheduled date for payment, Arlington Skin & Face Place may exercise any and all rights available to it , whether under this agreement or under applicable law, which may include, but are not limited to, suspension of your membership in the membership until such payment is made, assessing a late payment fee of $35.00, and/or terminating this Agreement.

4.Arlington Skin & Face Place reserves the right to review subscriptions periodically. Subscribers will be given at least a 60 days’ notice in writing of any changes, which include: (i) any increase in membership fee, (ii) change in date of automatic withdrawal.

5. If the full 6 month Subscription Service Pass is paid in advance, then the 6 month Subscription Service Pass fee will not be charged to the payment method on file. You hereby authorize your bank, financial institution, or credit card lender to allow payments to be drawn from your provided account by the Company, as evidenced by your agreeing to these terms and conditions.

6. All payments due hereunder will be collected by Electronic Funds Transfer (“EFT”) and charged to the valid debit or credit card provided by you, which will be kept on file with the Company. You are responsible for ensuring that the provided debit or credit card on file remains active and maintains the proper funds/open balance to cover the costs of the monthly Subscription Service Pass fees and for providing an updated payment method if the existing payment method is rendered unable to cover Subscription Service Pass fees for any reason.

7. If EFT payment is declined or not honored for any monthly Subscription Service Pass charge, then the Company reserves the right to accelerate the unpaid Subscription Service Pass dues and demand payment in full for all pending monthly charges remaining in the Subscription Service Pass term.

Termination or Suspension of Subscription Service Pass:

1. Please be advised that this Agreement is noncancellable: The only exceptions to this policy are: (i) your being called to active duty; you or your legally designated representative must include a copy of your official military orders with your notice of cancellation, with such notice being provided within 30 days after your call to active duty. In order to effectively exercise any right of cancellation, you must notify Arlington Skin & Face Place of your intention to cancel in writing in person or by certified or registered mail at the address set forth above. (ii) if the membership and/or the primary Spa locations fails to open or permanently discontinues operations.

2. The Subscription Service Pass term is for a six (6) consecutive month period from the date you initially become a Subscriber. There is up to a $300 Early Cancellation Fee if you decide to terminate your Subscription Service Pass prior to 6 months.

3. If the fee is paid in full in advance for the Subscription Service Pass term, then the current Subscription Service Pass rate for the selected Subscriber will be offered as a renewal price indefinitely despite any price increases so long as the Subscription Service Pass is renewed.

4. Company may cancel any Subscription Service Pass at any time for any reason without providing any refund for paid Subscription Service Pass fees. If you commit any of the following violations, it will be grounds for automatic termination of your Subscription Service Pass: (1) you provide false or misleading health history, health status, or other personal information; (2) you provide invalid or improper payment details in any respect; (3) you fail to provide updated payment information after one (1) EFT automatic payment failure within thirty (30) days of failed payment; (4) you commit a serious breach of this Agreement and/or Arlington Skin and Face Place and Regulations; (5) where any monies are due to Arlington Skin and Face Place by you remain unpaid for 30 days after its due date for payment (6) you knowingly provide false details when applying for Subscription Service Pass and the false declaration would have reasonably affected Arlington Skin and Face Place’s decision to grant the membership; (7) If Arlington Skin and Face Palce terminates for any reason, they reserve the right to retain any monies received to cover any reasonable costs they have incurred as a result; or (8) you violate any other portion or requirement of these terms and conditions or you violate any other policy of the Company.

5. Subscription Service Pass may be suspended (but not canceled) for up to 90 days. A medical certificate may be required. Subscribers may be liable to pay an administration charge of $25 to suspend their Subscription Service Pass per month. After the 90 days or other suspension period, the monthly charges will resume. We must receive notice prior to the next billing cycle of your need to temporarily suspend the membership.

Rules:

1. Arlington Skin and Face Place Gift Cards may be redeemed to pay any portion of the membership fee.

2. The Subscription Service Pass fee cannot be combined with any other promotion and/or discount.

3. Arlington Skin and Face Place reserves the right to vary, add or eliminate any of the particular services and facilities provided from time to time.

4. Arlington Skin and Face Place reserves the right to close or modify facility hours with or without notice.

5. The Subscription Service Pass may not be combined with any other promotional offer unless otherwise specified.
